COMMITMENT TO QUALITY SERVICE
TERMS
& CONDITIONS FOR NET SURFERS CLUB
MEMBERSHIP
All Net
Surfers Club members should carefully read and understand
the following terms and conditions. Upon signing this
agreement, new members must return this agreement along
with the duly signed and accomplished membership form.
1. Definition
of Terms:
The following
words will have these meanings in this agreement,
unless otherwise specified.
Agreement
– shall mean this agreement, unless otherwise
specified.
Services
– access to the global Internet via the Net Surfers
Club, any subsidiary internet based technologies,
consulting and other services offerings provided by
Net Surfers Club.
The
Club – shall mean the Net Surfers Club Inc.
Member
- shall mean any person, agency, institution, or corporation,
which has expressed interest in availing of the services.
Third
Party Content – shall mean all information,
software and other content that can be accessed through
or by virtue of the services.
2. Terms
& Termination of Agreement:
This
Agreement shall be valid for the term chosen by the
member and may be renewed for another period chosen
by the member. The Club may terminate this Agreement
for cause as stated herein or the members terminates
this Agreement by serving a seven (7) days prior notice
to the Club. Payments made by the member are non-refundable.
3. Mode
and Terms of Payment:
The member
shall pay Net Surfers Club the amount corresponding
to the charges they avail of.
3.1
Payments shall be paid either monthly, quarterly,
semi-annual or annual basis. The member, upon signing,
shall pay the one time membership fee of P400.oo plus
the advance payment of the package they avail of.
3.2
All payments shall be made in favor of the Club. Please
check the list of accredited banks where payments
maybe made.
3.3
Members who choose to pay six (6) months in advance
shall be entitled to a five percent (5%) discount
while members who choose to pay one (1) year in advance
shall be entitled to a ten percent (10%) discount.
3.4
The member shall pay the appropriate tax, such as
the Value Added Tax (VAT) in addition to the amount
that may be charged as stated in this Agreement.
3.5
The Club may occassionaly inform members in case his
alloted time is almost exhausted or when his term
is about to expire.
3.6
In case that the member has a credit arrangement with
the Club, and the member fails to pay on agreed time,
the Club may have the option to terminate the service.
3.7
There shall be no surcharge on excess usage. The Club
shall maintain a flat rate, based on the plan taken.
3.8
There is a fifty pesos (P50.00) charge as downgrade
fee in case the member opt to downgrade to a lower
plan.
3.9
Membership fees and subscription payments are
non refundable.
4. Carry-over
Policy:
4.1
Monthly
terms are credited a carry-over of twenty percent
(20%) maximum based on alloted time of the plan while
quarterly, semi-annual and annual terms are given
one hundred percent (100%) carry-over of unused hours.
Unused hours will be carried over upon renewal.
5. Disconnection
/ Reconnection of Service:
5.1
Service shall be automatically discontinued upon depletion
of the alloted time or upon expiration on the term
subscribed. In case the member wishes to continue
the service and pays the charges for the succeeding
months, the service shall not be disrupted.
5.2
In case that the Agreement was discontinued, no reconnection
charge shall be applied if reconnection is within
ninety days of the disconnection. After ninety days
reconnection can still be requested but they shall
be treated as a new membership account.
6. Operation
and Maintenance:
6.1
The Club reserves the right to temporarily suspend
access to its service for the necessary maintenance
thereof. The Club shall provide advance notice to
its members, specifying the projected date and duration
of the maintenance required, in case of a scheduled
maintenance work.
6.2
Payment of the access charge fees and one time
joining fee shall entitle the member basic 24-hour
technical support to bring Internet connectivity,
configuration of the needed start-up software and
access to 24-hour technical support and customer service.
7. End-to-End
Bandwidth and Response Time:
7.1
The Member is responsible for and must provide the
computer, modem, telephone line and all other equipment
needed to access the services. The Club reserves the
right to disconnect or deactivate the service of a
member at any time without any prior notice in situations
where the member’s equipment or software is directly
interfering with the Club’s capability to provide
its services. The member must, at all times, comply
with the Club’s requirements regarding the proper
access equipment, as well as the mode of access to
and/or use of the services.
7.2
The Club may also suspend or terminate the service
rendered to a member if the member is suspected of
engaging in any unlawful activity such as hacking
and spamming.
7.3
Unless otherwise agreed upon, the Member’s right
to use the services, or that of the Member’s
other designated users, is non-transferable and is
subject to limits or restrictions stipulated by the
Club.
7.4
Under the provisions of this Agreement, it is understood
and agreed that the services are supplied on an "as
is" basis without any express or implied warranties
except for those imposed with respect to fair business
practice under Philippine laws. In no event shall
Net Surfers Club, its directors, officers, stockholders
or its employees be held liable to anyone for special,
incidental, nominal or consequential damages which
may arise from the use of (or inability to use) the
services, including, but not limited to, damages resulting
from lost data or lost profits. Neither shall the
Club be liable for indirect or consequential damages
which may arise from interruption or distortion of
services or downtime due to telecom carrier problems,
including, without limitation, loss of anticipated
profits or other economic gain.
7.5
Due to the cooperative and distributive nature
of the Internet, the Club does not make any guarantee
nor any representation to the members with respect
to its bandwidth and response time to the Internet
and continuity of service. However, the Club shall
enforce all the necessary policies to ensure the highest
level of service to its members.
7.6
The Club shall make any modification or amendments
to this terms and conditions relative to the changes
in the services it offers, operating procedures, rates,
and any other changes it wishes to make. Such changes
may be made without prior notice.
7.7
Should the Club suspend or terminate the services
pursuant to any justifiable reasons, the member has
no right to any data stored in the Club facilities,
neither shall the Club be under in any obligation
to make such data or copies of it available to the
member in any form or whatsoever. The Club shall then
erase such data without prior notice to the member.
7.8
If any specific provision contained above is determined
to be invalid. The other remaining provisions shall
remain in full force and effect. The provisions of
all obligations and all restrictions on the member
shall survive the termination of his membership.
7.9
The terms and conditions mentioned above are governed
by the laws of the Philippines and the members hereby
submits to the non-exclusive jurisdiction of the courts
of the Philippines. In case it will be necessary to
engage the services of counsel or a collection agency
for the purpose of enforcing the rights of the Club
hereunder, the member shall pay no less than 25% of
the amount due as collection of attorney’s fees,
in addition to billing for services, penalties and
surcharges.
7.10
In case of legal action, it shall be handled by
the regional trial court of Quezon City, Philippines.
